Central Pine Barrens Advisory Committee Bylaws

RESOLVED, That the Central Pine Barrens Advisory Committee hereby adopts the following by-laws:

ARTICLE I
NAME

As authorized by the Long Island Pine Barrens Protection Act of 1993, Environmental Conservation Law § 57-0119(9), this body shall be known as the Central Pine Barrens Advisory Committee (hereinafter, “Advisory Committee”).

ARTICLE II
MEETINGS

Section 1. The regular meeting of the Advisory Committee shall be held at a time designated by the Advisory Committee at such place the Advisory Committee or its Chair may determine.
Section 2. Special meetings may be called by the Chair or at the call of any seven members of the Advisory Committee, provided that notice thereof be given to all Advisory Committee members.
Section 3. Nine members shall constitute a quorum at all meetings of the Advisory Committee.
Section 4. All questions presented for a vote of the Advisory Committee shall be decided by a simple majority of the quorum, including the vote of the Chair.
Section 5. Robert’s Rules of Order, Newly Revised shall govern in the parliamentary procedure of the Advisory Committee, in all cases to which they are applicable and in which they are not inconsistent with these by-laws.
Section 6. Attendance.  Members and alternates are encouraged to join all general and subcommittee meetings in person.  If, because of scheduling constraints a member or alternate can only join the meeting remotely by conference call, this will also be deemed an acceptable form of attendance for purposes of a quorum (Advisory Committee is not subject to Open Meetings Law).

ARTICLE III
OFFICERS

Section 1. The officers of the Advisory Committee shall be a Chairperson, a Vice-Chairperson, and a Secretary.
Section 2. Officers shall be elected by the Advisory Committee and take office at the first regular meeting of each calendar year.
Section 3. Vacancies in office shall be handled as follows:
(a) In the event of resignation or incapacity of the Chair, the Vice-Chair shall become the Chair for the unexpired portion of the term.
(b) Vacancies in officers other than the Chair shall be filled for the unexpired term by special election.
Section 4. Duties of the officers shall be as follows:
(a) Chair:
(i) preside at all meetings;
(ii) represent the Advisory Committee at public functions;
(iii) appoint special committees;
(iv) establish the agenda for each meeting.  Agenda items requested by any Advisory Committee member shall be included.
(b) Vice-Chair:
(i) assist the Chair in directing the affairs of the Advisory Committee and act in the Chair’s absence.
(c) Secretary:
(i) be responsible for the accuracy of the minutes of the Advisory Committee and bring any corrections to the attention of the Advisory Committee at its next meeting.  The Secretary shall sign the approved minutes and file in Record Book.

ARTICLE IV
COMMITTEES

Section 1. Committees may be appointed for special purposes by the Chair and with the consent of the majority of the Advisory Committee.  All committees will have at least one Advisory Committee member serving on them.  These committees are automatically dissolved upon completion of the assignment.

ARTICLE V
POWERS AND DUTIES OF THE ADVISORY COMMITTEE

Section 1. The Advisory Committee shall:
(a) Actively assist and advise the Central Pine Barrens Joint Planning & Policy Commission (hereinafter “the Commission”) in the implementation and revision of the Central Pine Barrens comprehensive land use plan.
(b) Meet periodically with the Commission.

ARTICLE VI
AMENDMENTS

Section 1. These by-laws may be amended by a majority vote at any regular meeting, provided all members have been notified of the proposed amendments at least ten days prior to such meeting.
